These terms govern your access to and use of KeyStone's websites, platforms, products, and services. Please read them carefully.

KeyStone is an enterprise technology transformation partner that designs, builds, integrates, automates, and optimizes enterprise platforms, AI and agentic systems, and digital products — including our platforms Sublime LMS and Sublime Intelligence.
These Terms of Service ("Terms") form a binding agreement between you and KeyStone Software LLC and its affiliates, including ZionStar Pvt. Ltd. (together, "KeyStone," "we," "us," or "our"). By accessing or using our websites, platforms, products, or services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, you must not access or use the Services.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. Where the Services are used by learners or end users on behalf of an institution, the contracting organization is responsible for obtaining any required consents.
When you create an account, you agree to provide accurate information and to keep it current. You are responsible for safeguarding account credentials and for all activity that occurs under your account. Notify us promptly at hello@keystonehq.ai of any unauthorized use.
Subject to these Terms and any applicable Order, KeyStone grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.
You agree not to, and not to permit any Authorized User to:
Certain Services include artificial intelligence, machine learning, copilots, and autonomous or semi-autonomous agent features ("AI Features"). AI Features are designed to assist and augment human decision-making, not to replace professional judgment.
AI Features may produce outputs that are incomplete, inaccurate, or not suitable for a particular purpose. You are responsible for reviewing outputs before relying on them, and for maintaining appropriate human oversight, especially where outputs inform consequential decisions.
Where you provide inputs to AI Features, you represent that you have the necessary rights to do so. Unless otherwise agreed in an Order, we do not use Customer Data to train foundation models for the benefit of other customers.
As between the parties, you retain all rights in Customer Data. You grant KeyStone a worldwide, limited license to host, process, and transmit Customer Data solely to provide and support the Services and as described in our Privacy Policy.
You are responsible for the accuracy and legality of Customer Data, for obtaining all necessary rights and consents, and for configuring the Services in line with your compliance obligations.
The Services, including all software, platforms, models, designs, documentation, and the KeyStone, Sublime LMS, and Sublime Intelligence names and marks, are owned by KeyStone or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted, no rights are transferred to you.
If you provide feedback or suggestions, you grant KeyStone a perpetual, royalty-free license to use them to improve the Services without obligation to you.
Fees for the Services are set out in the applicable Order. Unless stated otherwise, fees are exclusive of taxes, are non-cancelable, and amounts paid are non-refundable. Late amounts may accrue interest and may result in suspension of the Services after reasonable notice.
The Services may integrate with or link to third-party products, platforms, and content that KeyStone does not control. Your use of third-party services is governed by their own terms, and KeyStone is not responsible for them.
Each party may access confidential information of the other. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to representatives who need to know and are bound by confidentiality obligations.
Except as expressly stated in an Order, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. KeyStone does not warrant that the Services will be uninterrupted, error-free, or that AI Feature outputs will be accurate or complete.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Each party's aggregate liability arising out of or relating to these Terms will not exceed the fees paid or payable for the Services in the twelve months preceding the claim.
You agree to defend and indemnify KeyStone against third-party claims arising from your Customer Data, your use of the Services in breach of these Terms, or your violation of law or third-party rights, except to the extent caused by KeyStone.
These Terms apply while you use the Services or have an active Order. Either party may terminate for material breach not cured within 30 days of notice. On termination, your right to use the Services ends, and you may request export of Customer Data for a limited period, after which we may delete it in accordance with our retention practices.
These Terms are governed by the laws applicable at KeyStone's principal place of business, without regard to conflict-of-laws rules. The parties will attempt in good faith to resolve disputes informally before pursuing formal proceedings in the courts of competent jurisdiction, unless an Order specifies arbitration.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance.
By providing your phone number and checking the SMS consent box during registration, you agree to the following terms:
You consent to receive recurring SMS/MMS messages from KeyStone Software LLC, including learning reminders, assignment updates, course progress alerts, and Sublime Intelligence engagement notifications.
Message frequency varies based on your course activity. You may receive multiple messages per week during active course periods.
Message and data rates may apply. KeyStone Software LLC does not charge for SMS messages, but your mobile carrier may.
Reply STOP to any message to unsubscribe. You will receive one confirmation message and no further messages will be sent. You can re-subscribe at any time by replying START.

Your mobile phone number and SMS opt-in data will not be shared with or sold to any third parties or affiliates for marketing or promotional purposes.
